Acceptable Use & Consent Notice

By accessing Persuadely.ai you agree to this Acceptable Use & Consent Notice (the "Notice"). It forms part of the Agreement between your organisation and Capuchin.
1. Your Responsibility
Your access is provisioned by your organisation, which remains responsible for your conduct. You must follow all internal policies and applicable laws.
2. Access & Licence
Subject to payment and compliance, Capuchin grants Client a revocable, non-exclusive, non-transferable, non-sublicensable, limited licence to permit Users to access the Services solely for Client's internal business purposes. Capuchin may update, modify or discontinue features from time to time without materially reducing core functionality purchased under an active Order.
Internal Use Only. The Platform and Insights are provided for your organisation's internal business purposes. You may not provide access to anyone outside your organisation without our express written permission.
3. AI Outputs & Human Review
Insights are automatically generated by AI/behavioural models, may be inaccurate, biased or inappropriate, and are not reviewed or approved by Capuchin. You must apply human judgment and any internal approvals before acting on outputs.
4. Do Not Upload Prohibited Data
Unless expressly authorised in a signed DPA, do not upload personal data (PII), special category data, children's data, financial, health or other regulated information, or any content you are not legally authorised to share. Provide only anonymised or aggregated data.
5. Acceptable Use Rules
You must not: (a) engage in discriminatory, deceptive or harmful practices; (b) generate or deploy misleading content; (c) attempt to reverse engineer, extract prompts or models, interfere with security or abuse rate limits; (d) share credentials or impersonate; (e) copy, export or share outputs outside your organisation without written permission.
Acceptable Use; Monitoring; Fair Use. Client and Users must comply with the Acceptable Use Policy ("AUP"). Capuchin may monitor usage for security, support, compliance and product improvement; the Platform is not moderated or pre-screened.
If Client's usage imposes a disproportionate technical, financial or operational burden (e.g., excessive API calls, storage, support tickets), Capuchin may request remediation, throttle or suspend features, or require a plan upgrade. Capuchin may throttle, queue or limit requests where usage materially exceeds reasonable patterns. Capuchin may immediately suspend access to address threats, illegal or harmful activity, or repeated AUP violations.
No Resale or External Distribution. You may not sell, sublicense, resell, commercially exploit, or distribute the Platform or Insights, or use them to provide services to any third party, unless we give you express written permission.
6. Monitoring & Enforcement
Activity may be logged for support, security, analytics and compliance. Capuchin may suspend or revoke access for breach, suspected misuse or risk to the Services.
7. Acknowledgement & Consent
By clicking "I Accept" you confirm you understand this Notice and consent to the processing and monitoring described for the purposes of providing the Services.
8. Intellectual Property; Feedback
Capuchin retains all rights in the Services. Client receives no IP rights other than the limited licence in Clause 2. Capuchin owns all Insights and derivatives and grants Client a non-exclusive, non-transferable licence to use them internally during the Term.
Client may not reverse engineer, decompile, frame, scrape, create derivative works from, train models on, or build competing products using the Services or Insights.
No Reverse Engineering or System Probing. You must not attempt to discover, extract or reveal how the Platform, models, prompts, behavioural frameworks or other underlying systems work. This includes reverse engineering, decompiling, copying, scraping, model-extraction, prompt-extraction, replicating outputs at scale, or building any competing or substitute products or services using the Platform or Insights.
Client grants Capuchin a perpetual, royalty-free licence to use feedback for any purpose, excluding confidential information.
